This company did not apply to Parliament for Act of incorporation but made voluntary arrangements with landowners for way-leaves. Company opened negotiations for this purpose on 2nd December 1831. Deed of partnership dated 30th January 1832 styled company as "Stanhope Railroad Co."

New company was formed from new partnership commenced on 20th April 1832 with title Stanhope and Tyne Railroad Co. This is stated by Mr. W.W.Tomlinson in his history of North Eastern Railway to be "first public railway to be formed on what leading lights of coal trade called 'the legitimate principle'".

Company fell into financial difficulties in 1840, situation for shareholders being complicated by fact that protecting principles of an incorporating Act of Parliament did not apply, and company was dissolved on 5th February 1841. Another company was incorporated as Pontop and South Shields Railway Company by Act 23rd May 1842.

Railway was purchased by York and Newcastle Railway Company on 1st January 1847. Name of this company was changed to York Newcastle and Berwick Railway Company under act of 9th August 1847 (10 & 11 Vic, cap.133).

Under North Eastern Railway Company's Act of 31st July 1854 (17 & 18 Vic, cap.211), companies known as York and North Midland and Leeds Northern Railways were dissolved and vested in York Newcastle and Berwick Railway Company thenceforth called North-eastern Railway Company, later known as North Eastern Railway Company.

North Eastern Railway Company, Hull and Barnsley Railway Company and Hull Joint Dock Committee were dissolved and united into one company by name of North Eastern Railway Company as from 1st April 1922 by virtue of North Eastern, and Hull and Barnsley railway companies Amalgamation Scheme 1922 dated 1st April 1922. This North Eastern Railway Company became part of London and North Eastern Railway Company as from 1st January 1923 under North Eastern, Eastern and East Scottish Group Amalgamation Scheme 1922 dated 30th December 1922.
