Incorporated under act of 9th July 1847, Section 46 of which gave power to lease railway to Chester and Holyhead Railway Company. Section 47 gave power to Chester and Holyhead Railway Company to purchase Mold Railway Company, such purchase being sanctioned by meeting of Chester and Holyhead Railway Company held on 30th March 1849. By agreement made in 1855, which took effect as from 1st July 1856, London and North Western Railway Company undertook to work Chester and Holyhead Railway Company.

By act of 23rd July 1858, Chester and Holyhead Railway Company was authorised to be leased to or amalgamated with London and North Western Railway Company and though vested in latter Company by an agreement made under this Act continued as undertaking with power to raise capital and issue stock. See London and North Western Railway Company's (Capital) Act 30th June 1862. Chester and Holyhead Railway Company was not legally dissolved until this was effected by London and North Western Railway (Additional Powers) Acts 21st July 1879. See Section 40 and preamble to the Act.

London and North Western Railway Company became part of London Midland and Scottish Railway Company under North Western, Midland and West Scottish Group Amalgamation Scheme 1922 dated 30th December 1922.
