Incorporated under act of 11th June 1866. Company suffered financial embarrassment and Darlington District Joint Stock Banking Company obtained judgment against them in February 1878 for £18,322, and under Merrybent & Darlington Railway Company (Winding-up) Act of 17th June 1878, company was wound up and property sold for benefit of creditors under Court of Chancery Order, railway passing into possession of named banking company.

Undertaking was purchased by North Eastern Railway Company in 1890 and purchase was confirmed under Section 49 of North Eastern Railway Act of 30th July 1900. North Eastern Railway Company, Hull & Barnsley Railway Company, and Hull Joint Dock Committee, were dissolved and united into one company by the name North Eastern Railway Company as from 1st April 1922 by virtue of North Eastern and Hull & Barnsley railway companies Amalgamation Scheme 1922 dated 1st April 1922. This North Eastern Railway Company became part of London & North Eastern Railway Company as from 1st January 1923 under North Eastern, Eastern, and East Scottish Group Amalgamation Scheme 1922 dated 30th December 1922.
