Incorporated under act of 6th June 1844 to construct railway from Lancaster & Preston Junction Railway at Lancaster, to Carlisle. By Lancaster & Carlisle Railway Act of 13th August 1859, provision was made for amalgamation of Kendal & Windermere Railway Company and Lancaster & Preston Junction Railway Company with Lancaster & Carlisle Railway Company, and for London & North Western Railway Company to appoint Directors (Section 49).

Under London & North Western Railway (Additional Powers) Act 21st July 1879 (Section 40), Lancaster & Carlisle Railway Company was dissolved and its powers transferred to and vested in London & North Western Railway Company. London & North Western Railway Company was vested in London Midland & Scottish Railway Company under North Western, Midland & West Scottish Group Amalgamation Scheme 1922 dated 30th December 1922.
