The Bristol and Gloucester Railway Company was incorporated under the Bristol and Gloucester Railway Act of 19th June 1828 as Bristol & Gloucestershire Railway Company. By an act of 1839, the company was required to take and use name and style of "Bristol & Gloucester Railway Company".

In 1846, by an act of 3rd August, the company was to be incorporated in and to form part of Midland Railway Company.
