Incorporated under act of 31st July 1845 (8 and 9 Vic, cap.152).

Under act of 1847 (10 and 11 Vic, cap.292), Bishop Auckland and Weardale Railway Company, Wear and Derwent Railway, Weardale Extension Railway and Shildon Tunnel Company were amalgamated with Wear Valley Railway Company. Under Clause 36 of Act of 1847, Wear Valley Railway Company was leased to Stockton and Darlington Railway Company for 999 years commencing 1st October 1847.

By virtue of Stockton and Darlington Amalgamation Act of 1858 (21 and 22 Vic, cap.116), Wear Valley Railway Company was amalgamated with Stockton and Darlington Railway Company.

Stockton and Darlington Railway Company was amalgamated with North Eastern Railway Company under act of 13th July 1863 though Stockton and Darlington Company maintained a distinct management of its own system by a committee composed chiefly of its own Directors. By Section 35 of act, committee, termed"Darlington Committee", was to continue from date of act until 31st December 1873. Terms of appointment to this committee were, however, amended by section 28 of North Eastern Railway Company (Consolidation of Stocks) Act 1870 by which separate management of Stockton and Darlington Railway became virtually extinguished.

North Eastern Railway Company, Hull and Barnsley Railway Company, and Hull Joint Dock Committee were dissolved and united into one company by name North Eastern Railway Company as from 1st April 1922 by virtue of North Eastern and Hull and Barnsley railway companies Amalgamation Scheme 1922, dated 1st April 1922. This North Eastern Railway Company became part of London and North Eastern Railway Company as from 1st January 1923 under North Eastern, Eastern and East Scottish Group Amalgamation Scheme 1922 dated 30th December 1922.
