Incorporated by Trent Valley Railway Act of 21st July 1845. Under this Act, London and Birmingham, Grand Junction, and Manchester and Birmingham railway companies were authorised to subscribe to Undertaking and power was also given to these companies to purchase or lease Undertaking.

At special meeting of London and Birmingham Railway Company on 9th March 1846, it was agreed by this company to purchase Trent Valley Railway Company and to hand over cheque for purchase money of £584,000 on 15th April 1846. London and Birmingham Railway was amalgamated with Grand Junction, and Manchester and Birmingham railway companies to form London and North Western Railway Company under London and North Western Railway Act of 16th July 1846. London and North Western Railway formed one of constituent companies of London Midland and Scottish Railway as from 1st January 1923.
