The Darlington and Barnard Castle Railway Company was incorporated under act of 4th July 1854 (17 and 18 Vic, cap.115).

By act of 1858 (21 & 22 Vic, cap.116), Darlington & Barnard Castle Railway Company was amalgamated with Stockton & Darlington Railway Company. This company was amalgamated with North Eastern Railway Company under act of 13th July 1863, though Stockton & Darlington Company maintained a distinct management of its own system by a committee composed chiefly of its own directors.
