The Conway and Llanrwst Railway Company was incorporated under an act of 23rd July 1860.

By section 32 of London & North Western Railway (Additional Powers) Act 28th July 1863 power was given for Conway and Llanrwst Railway Company to agree to transfer of their undertaking to London & North Western Railway Company, and by section 22 of London & North Western Railway (Additional Powers, Wales) Act 5th July 1865, power was given to convert capital of Conway and Llanrwst Company into Stock of London & North Western Railway Company.

Under section 76 of London & North Western Railway (New Works & Additional Powers) Act 15th July 1867, Conway & Llanrwst Railway Company was dissolved, except for purpose of winding up its affairs, (as and from date of passing of act) and powers of that company were vested in London & North Western Railway Company.
