The Birmingham, Lichfield and Manchester Railway Company was originally promoted as the Birmingham and Lichfield Railway. The Birmingham, Lichfield and Manchester Railway Company was incorporated under the Birmingham, Lichfield and Manchester Railway Act of 27th July 1846.

Under Section 57 of the act, the Grand Junction Railway Company, which had amalgamated 11 days previously with the London & Birmingham Railway Company and the Manchester & Birmingham Railway Company to form the London & North Western Railway Company, was authorised to purchase Birmingham, Lichfield & Manchester Railway Company.

Under Section 4 of the Birmingham & Lichfield Railway Act of 9th July 1847, the London & North Western Railway Company was authorised to abandon the Birmingham, Lichfield & Manchester Railway Company line, and powers etc. conferred by the Birmingham Lichfield & Manchester Railway Act of 1846 were to cease.
