The Bedford and Cambridge Railway Company, originally promoted as the Bedford Potton and Cambridge Railway, was incorporated under the Bedford and Cambridge Railway Company Act of 6th August 1860.

In accordance with the provisions of Sections 50-60 of the Act, directors of the London & North Western Railway were authorised to appoint certain members to the board of the Bedford and Cambridge Railway Company. These nominees, together with the directors of the Bedford and Cambridge Railway Company, formed a Joint Committee of Directors.

In 1865, under Section 67 of the London & North Western (Additional Powers England) Act 5th July 1865, the Bedford & Cambridge Railway Company was dissolved, except for the purpose of winding up its affairs, and vested in the London and North Western Railway Company.
