Pearson and Dorman Long Ltd was incorporated in 6 October 1922 as A Private Company. On formation the company purchased the whole of the Dorman Long and Co. Ltd. coal mining interests in Kent, and also the whole of Dormans and The Whitehall Securities holdings in the Channel Steel Co. Ltd. The Registered Office of the company was at 17b Victoria Street, London and the capital of the company £500,000, divided in to shares of £1 each.

Directors: Sir Hugh Bell (Chairman), Sir A.J. Dorman, Col. Frederick Joseph Byrne (Joint Managing Director), Mr. Arthur Dorman (all representing Dorman Long and Co. Ltd.) Viscount Cowdray, Sir Edward Pearson (Joint Managing Director), Sir Clarendon G.Hyde, Hon BC Pearson (representing The Whitehall Securities Corporation Ltd.) Mr Arthur Dorman became chairman in July 1931. In November 1953 the Whitehall Securities Corporation Limited purchased Dorman's shares in the company.
