Incorporated by act of 28th July 1863. Under Junction Act of 1866, name of Company was changed to "Midland Counties and South Wales Railway Company", but by act of 14th July 1870, original name of "Northampton and Banbury Junction Railway Company" was resumed.

By Stratford-upon-Avon and Midland Junction Railway (Various Powers) Act 1910, undertaking was sold as from 1st July 1910 to Stratford-upon-Avon and Midland Junction Railway Co. Latter company was vested in London Midland and Scottish Railway Company as from 1st January 1923 under London Midland and Scottish Railway Preliminary Absorption Scheme 1923 dated 3rd April 1923.
