The East Lincolnshire Railway Company was incorporated under act of 26 July 1846.

By an act of 1847, line was leased in perpetuity to Great Northern Railway Company at a fixed rental from 1 October 1848, the lease being dated 21 February 1848. The company was transferred to and absorbed by London and North Eastern Railway Company from 1 January 1923 under London & North Eastern Railway Absorption (No.1) Scheme 1923, dated 29 June 1923.
